Program Type: Continuous Stay Subscription (Tier-Locked)
These Terms and Conditions govern the relationship between estaie (the “Company”) and the subscriber (the “User”). By purchasing a Flexi-Stay package, the User agrees to be bound by these terms.
1. The Package Structure
1.1. Package Durations: Flexi-Stay is offered in three durations: (a) 3-Month Package, (b) 6-Month Package and (c ) 12- Month Package
Example:
(a) 3-Month Package: Starting April 1st, covering April through June;
(b) 6-Month Package Ex: Starting May 1st, covering May through October;
(c ) 12- Month Package, starting 15th April 2026 , covering upto 14th April 2027.
[NEW] Defines exact start dates and coverage months. Prevents ambiguity on rolling vs fixed start.
1.2. Room Categories: Four room categories are available: Studio Apartment (with kitchen), Hotel Room (without kitchen), 1-Bedroom Apartment (1BR), and 2-Bedroom Apartment (2BR).
1.3. Tier-Locking: The User’s package is locked to a specific Room Category and a specific Tier (Tier 1 – Economy, Tier 2 – Standard, or Tier 3 – Premium, Tier 4 – Luxury , Tier 5- Luxury Plus). The Tier determines the range of properties available to the User.
1.4. Horizontal Switching: Users are only permitted to switch between units belonging to the exact same Category and Tier as their initial selection.
1.5. City-Locking: Switching is limited to units within the same city as the User’s initial booking. Cross-city switching (e.g., Dubai to Abu Dhabi) is not permitted under any package.

1.6. Category Integrity: Upgrading or downgrading categories (e.g., 1BR to 2BR) is not permitted. Upgrading the current package requires a contract amendment as per the Mid-Term Tier Upgrade Protocol (see Section 6).
2. Payments and Financials
2.1. Pricing Structure: All package prices listed by the Company are in AED and are exclusive of 5% UAE Value Added Tax (VAT). The final amount payable by the User shall include VAT calculated on the package price.
[NEW] Resolves VAT ambiguity. Prices in the Excel model are VAT-exclusive; this clause makes it explicit.
2.2. Full Advance Payment: The total package value (3-month or 6-month or 12 months) must be paid in full in advance via the Flexi-Wallet, Bank Transfer, or Credit Card.
2.3. Booking Confirmation: A booking is only considered confirmed once the full funds have cleared into the Company’s account.
2.4. Supplementary Charges:
estaie reserves the right to implement periodic supplements and rate adjustments to the Package Value. Such adjustments shall be applied at the sole discretion of estaie, predicated upon significant market events, public holidays, or periods of projected high occupancy. Any applicable supplements will be disclosed and added to the Total Contract Value prior to booking confirmation.
Event Supplements are calculated using the Percentage-of-Tier-Value (PTV) formula:
Supplement = (Base Event Surge * Category Multiplier * Duration)
The Company reserves the right to update the Event Supplement Schedule with 30 days’ written notice.
[NEW] Makes the supplement schedule contractually binding. Without this, estaie had no legal basis to collect event charges.
2.5. Combined Events: If a User’s stay overlaps with two or more events listed in Appendix A, the higher supplement shall be charged at 100% of its value and each additional event supplement shall be charged at 50% of its value.

2.6. Supplement Timing: Event Supplements apply from 14:00 (check-in time) on the eve of the event’s first day until 12:00 (checkout time) on the day following the event’s last day. For Islamic calendar events (Eid Al Fitr, Eid Al Adha), exact dates will be confirmed by the Company no later than 30 days before the expected start, based on official UAE moon-sighting announcements.

2.7. Installment Option: Subject to the Company’s approval, a User may pay in two installments: 60% of the total package value at the time of booking, and the remaining 40% no later than 30 days after the package start date. The booking is not confirmed until the first installment has cleared. Failure to pay the second installment by the due date will result in suspension of switching privileges and may lead to early termination under Section 5.1.

3. Room Switching & Availability
3.1. Subject to Availability: Every request to switch a room is subject to availability. The Company does not guarantee the availability of a specific property at any given time. The Company may present a selection of available units within the User’s Tier; the User acknowledges that not all units in the Tier may be shown at any given time.
[NEW] Last sentence establishes the legal basis for the shuffle algorithm — estaie is not obligated to show all units.
3.2. Switch Limits:
3-Month Package: One (1) complimentary switch.
6-Month Package: Two (2) complimentary switches.
12-Month Package: Five (5) complimentary switches.
3.3. Switch Protocol: Users must provide notice of a switch request 10 days in advance. Every stay requires a minimum commitment of 30 days in one unit before a switch can be triggered. The 30-day minimum is calculated from the actual check-in date.
3.4. Relocation Fees: Any switch requested beyond the complimentary limit will incur a non-refundable relocation fee:
Studio/Hotel Unit: 500 AED
1BR: 1000 AED
2BR: 1,500 AED
3.5. Supplement on Switch: If a switch moves the User into a unit during a period covered by an Event Supplement (Appendix A), the applicable supplement must be paid at the time the switch is confirmed, in addition to any relocation fee.

4. Rights of the Company (estaie)
4.1. Inventory Management: estaie holds the absolute right to add or remove any unit from a package at any time without prior notice. Reasons include, but are not limited to: (a) termination of the contract with the property partner; (b) market price hikes exceeding the Company’s volatility threshold; (c) property maintenance or sudden unavailability; (d) seasonal repricing that renders the unit economically unviable within the Tier.
[NEW] Item (d) adds explicit right for the kill-switch mechanism when partner costs spike beyond the margin buffer.
4.2. Alternative Placement: If a unit becomes unavailable mid-stay, the Company will provide an alternative unit within the same Tier and City within 48 hours. If no alternative is available within the same Tier, the Company will offer a unit in the next higher Tier at no additional cost for the remainder of the affected stay period, or issue a pro-rata refund for the unavailable days.

4.3. Unit Presentation: The Company reserves the right to determine which units within a Tier are presented to the User at any given time. The User acknowledges that the full inventory of a Tier may not be displayed simultaneously, and that the Company may rotate available options to ensure fair distribution across all subscribers.

5. Termination and Penalties
5.1. Early Termination By User: Flexi-Stay packages are discounted based on commitment. Early termination by the User will incur a Penalty Charge equal to 30 days of the monthly package rate or the remaining balance of the contract, whichever is lower.
5.2. Early Termination by Company: The Company may terminate this agreement if: (a) the User violates any material term; (b) the User fails to pay any amount due within 14 days of the due date; or (c) force majeure events render continued performance impractical. In case of termination by the Company for reasons other than User default, the User shall receive a pro-rata refund of any prepaid unused portion.

5.3. No-Show: Failure to check in on the scheduled date without 72-hour notice will result in the forfeiture of that month’s payment.
5.4. Cooling-Off Period: The User may cancel the package within 48 hours of booking confirmation for a full refund, provided no check-in has occurred. After 48 hours, Section 5.1 applies.

6. Mid-Term Tier Upgrade Protocol
[NEW] Entire section is new. Moves upgrade protocol from internal Framework into the binding T&C.
6.1. Eligibility: A User may request to upgrade from a lower Tier to a higher Tier (e.g., Economy to Standard). Downgrades are not permitted.
6.2. Upgrade Cost: The total upgrade cost is calculated as:
Upgrade Cost = [(New Tier Monthly Price − Current Tier Monthly Price) × Remaining Months × Seasonality Factor] + Relocation Fee
The Seasonality Factor is 1.07 for upgrades effective during October–March, and 1.00 for April–September. The Relocation Fee follows Section 3.4 rates, unless a complimentary switch is available.
6.3. Payment: The full upgrade cost must be paid before the upgrade takes effect.
7. Liability and Disclaimers
[NEW] Entire section is new. Essential legal protections for both parties.
7.1. Property Condition: The Company acts as an intermediary between the User and the property partner. The Company shall not be liable for property-level issues including maintenance defects, utility failures, noise, or actions of other guests. The Company will provide reasonable assistance in facilitating communication with property management.
7.2. Limitation of Liability: The Company’s total liability under this agreement shall not exceed the total package value paid by the User. The Company shall not be liable for indirect, consequential, or incidental damages.
7.3. Force Majeure: Neither party shall be liable for failure or delay in performance due to causes beyond reasonable control, including natural disasters, pandemics, government orders, war, sanctions, or travel restrictions.
7.4. Insurance: The User is strongly advised to obtain appropriate travel and accommodation insurance. The Company does not provide insurance coverage of any kind.
8. Data Protection and Privacy
[NEW] Entire section is new. Required for UAE Personal Data Protection Law (PDPL) compliance.
8.1. The Company collects and processes the User’s personal data (name, contact details, identification documents, payment information, and stay history) for the purpose of providing the Flexi-Stay service, in accordance with applicable UAE data protection laws.
8.2. The User’s data may be shared with property partners to the extent necessary to facilitate check-in, stay management, and compliance with local regulations including DET and Ejari requirements where applicable.
8.3. The User may request access to, correction of, or deletion of their personal data by contacting the Company in writing.
9. UAE Legal Compliance & Governance
9.1. VAT: All prices are exclusive of 5% UAE Value Added Tax (VAT) as per Federal Decree-Law No. 8 of 2017. VAT will be added to all invoices and receipts issued by the Company.
9.2. Tourism Fees: The User is responsible for paying all applicable municipal tourism fees — including but not limited to the Tourism Dirham in Dubai, the Tourism Fee in Abu Dhabi, and equivalent levies in other emirates or countries — directly to the property upon check-in, as per the regulations of the relevant jurisdiction.

9.3. Governing Law: This agreement is governed by the laws of the United Arab Emirates. Any dispute arising from this agreement shall be referred to the competent courts of Dubai, unless the parties mutually agree to arbitration under the rules of the Dubai International Arbitration Centre (DIAC).

9.4. Code of Conduct: Users must comply with the house rules of each individual property. Illegal activities, disturbances, damage to property, or violations of UAE law may lead to immediate eviction and termination of the Flexi-Stay contract without refund.
9.5. Ejari / Tenancy Registration: For stays in Dubai exceeding the statutory threshold, the Company will facilitate Ejari registration where required by Dubai Land Department regulations. The User agrees to provide all necessary documentation for such registration.

10. General Provisions
[NEW] Entire section is new. Standard boilerplate for commercial agreements.
10.1. Entire Agreement: This document, together with Appendix A (Event Supplement Schedule) and Appendix B (Fee Schedule), constitutes the entire agreement between the Company and the User.
10.2. Amendments: The Company may amend these Terms with 30 days’ written notice. Amendments do not apply retroactively to active packages unless the User provides written consent.
10.3. Assignment: The User may not assign or transfer their Flexi-Stay package to another person without the Company’s prior written consent.
10.4. Severability: If any provision of this agreement is found unenforceable, the remaining provisions continue in full force.
10.5. Language: This agreement is executed in English. In the event of any translation, the English version prevails.
10.6. Notices: All notices under this agreement shall be in writing and delivered via email to the addresses registered by each party.
Appendix A: Event Supplement Schedule

The Event Supplements apply to all Flexi-Stay packages. Amounts in AED, charged once per event period, in addition to the base package.

User Acknowledgment
I, the User, acknowledge that I have read and understood these Terms and Conditions, including Appendix A and Appendix B. I understand and accept that:
This is an “Offline Trial” version of the Flexi-Stay program.
Room switching is subject to availability, Tier-logic, and city-locking.
Event Supplements per Appendix A are payable in addition to the base package price.
All prices are exclusive of 5% VAT and applicable tourism fees.
